Strategy launches a digital credit capital framework, establishes a BTC monetization plan, and two $1 billion repurchase plans

According to the 8-K document submitted to the SEC by Strategy, the company announced the launch of a digital credit capital framework, which includes five core components: dollar reserve policy, adjustment of STRC dividend policy, preferred stock repurchase plan, common stock repurchase plan, and BTC monetization plan.Under the dollar reserve policy, the reserve can only be used to pay preferred stock dividends and debt interest, and management must maintain a reserve sufficient to cover expected dividends and interest expenses for at least the next 12 months. As of June 28, the dollar reserve balance was $2.55 billion.Regarding the STRC dividend, the company will dynamically assess the dividend rate on a monthly basis, considering factors such as trading price, market yield, credit spread, and Bitcoin price volatility, and will not increase the dividend solely because the STRC trading price is below par value. The company also announced an increase in the annualized dividend rate for STRC to 12% from the previous level, effective July 1.In terms of the repurchase plan, the company has established two repurchase authorizations of $1 billion each, to repurchase preferred stocks such as STRC, STRF, STRD, STRK, and Class A common stock, with STRC being the primary target of the preferred stock repurchase plan. Neither of the repurchase plans will utilize dollar reserve funds.In addition, the company's board of directors has authorized the BTC monetization plan, allowing the company to raise up to $1.25 billion by selling Bitcoin, to supplement the dollar reserve, pay preferred stock dividends and interest expenses, or fund the aforementioned repurchase plans.

Strive CEO: The significant fluctuations of STRC and SATA today are due to leveraged liquidations, not a deterioration in underlying credit

Strive CEO Matt Cole stated that today is the most difficult day in the history of digital credit. STRC rebounded significantly after hitting a low of $82.5 during the trading session, while SATA recovered after dropping to just over $90 near its par value, with many investors experiencing a tough trading day. Matt Cole indicated that what occurred today was a leveraged liquidation event, not a deterioration in underlying credit quality.He pointed out that when investors find a certain type of asset with a high yield, relatively low volatility, and strong underlying credit characteristics, they often increase returns through borrowing and leveraging. However, once the market moves in the opposite direction, forced selling can trigger a cycle of price declines, margin calls, and further selling, causing the sell-off to detach from fundamentals and driven by balance sheet constraints. He emphasized that the issuer's credit quality remains robust. Strive's dividend reserves are intact, the company is not under pressure, and it still has the ability to meet obligations and continue executing its strategy.He also mentioned that both STRC and SATA saw significant buying near their intraday lows and quickly recovered, indicating that there is actual demand in the lower price range. Matt Cole stated that liquidation events are not the same as credit events. Today's price fluctuations did not change his confidence in the long-term opportunities in digital credit; instead, it reinforced his view that the sector is building a new category of financial instruments and will experience similar growing pains before maturing into a large fixed income market.

a16z Crypto interprets leading investment in Morpho logic: On-chain lending is the next frontier for credit

a16z Crypto elaborated on why it co-led a $175 million financing round for the decentralized lending protocol Morpho in partnership with Paradigm and Ribbit. a16z views on-chain lending as "the next frontier of credit" and a key technological node for human prosperity, believing that a blockchain-based open credit network can reduce infrastructure costs, create a more competitive credit market, and provide broader channels for capital and yield acquisition.a16z stated that when they first engaged with the Morpho team in 2022, founder Paul Frambot was still in university but had already gathered nearly all of France's top blockchain talent; the team's pioneering on-chain lending optimizer achieved a Pareto improvement in interest rates by coordinating peer-to-peer loans on top of the underlying peer-to-pool protocol, and the project symbolizes a transformation for the global financial system.In 2024, Morpho launched the Morpho Blue protocol, focusing on over-collateralized loans of crypto assets with floating interest rates and variable terms. Now, Morpho is moving towards a larger vision—becoming the open credit network of the internet. The next product, Morpho Midnight, will support fixed-rate term on-chain loans collateralized by traditional assets, equipped with customizable KYC tools. More importantly, clients can initiate their own lending markets based on Morpho's underlying infrastructure while sharing the network's liquidity and network effects.a16z believes that we are currently at a critical window for disrupting the traditional credit system and building a more open and efficient credit network.
